Recommendation to adopt resolution authorizing City Manager to execute the Second Amendment to the Joint Powers Agreement creating the Spring Street Corridor Joint Powers Authority.

DISCUSSION
In January 1995, the Spring Street Corridor Joint Powers Authority (JPA) was created between the City of Signal Hill, the City of Long Beach, the Signal Hill Redevelopment Agency and the Redevelopment Agency of the City of Long Beach to provide for the development of certain facilities and improvements in the Spring Street Corridor.
Initially, the general boundaries of the Spring Street Corridor were established as the San Diego Freeway to the north, Orange Avenue to the east, Willow Street to the south and Atlantic Avenue to the west (Exhibit A). The JPA is governed by a Board of Directors (JPA Board) composed of four members of the Long Beach City Council (Districts 4, 5, 6, and 7), the Chairman of the Long Beach Redevelopment Agency and the five members of the Signal Hill City Council, who also sit as the Signal Hill Redevelopment Agency.
In 1996, the Joint Powers Agreement (Agreement) was amended for the first time to modify the boundaries of the Spring Street Corridor Area. Two additional parcels located at the southeast and southwest corners of Redondo Avenue and Willow Street (Exhibit B) were added to effectuate an Owner Participation and Implementation Agreement by and between the participating agencies and Office Depot, Inc.
During the past ten years, the projects identified for improving the Spring Street Corridor have been completed with the exception of the Sports Park, which is anticipated to begin construction within the next two years. In response to the diminishing amount of work that needs to be done, the JPA Board has approved the following changes to the
Agreement:
· The Annual Meeting held on the last Thursday in June of each year will be a Biennial Meeting held once every two years at such time and place as the JPA Board of Directors may prescribe.
· The term of the Elected Officers will be a two-year term, instead of a one-year term, with elections being held at the Biennial Meeting. The Chair and Vice Chair positions will rotate biennially between the Directors representing Signal Hill and Long Beach. At no time will the Chair and Vice Chair be from the same participating agency.
· The term of the Executive Director, who is the City Manager from either Signal Hill or Long Beach, will rotate at the time of the Biennial Meeting instead of every even numbered year.
· The Annual Operating Budget will be replaced by a Biennial Operating Budget and approved at the Biennial Meeting.
· The Annual Audit will be changed to a Biennial Audit with copies of such audit distributed to the JPA Board.
· The Executive Director, who has the general authority to administer the JPA under the direction and control of the JPA Board, will be given the authority to approve all warrants not exceeding the amount of Fifteen Thousand Dollars ($15,000) without prior JPA Board approval.
Section 2.06 of the Agreement, as amended by the First Amendment, requires the JPA Board and each participating agency - the Signal Hill City Council and Redevelopment Agency and the Long Beach City Council and Redevelopment Agency - approve the Second Amendment (Exhibit C).

TIMING CONSIDERATIONS
City Council action on this matter is not time critical.
FISCAL IMPACT
Funds for the JPA, totaling $2,500, have been appropriated in the Redevelopment Fund (RD) in the Department of Community Development. There is no fiscal impact to the General Fund.
